◎米連邦判事がEII側の訴訟権利を認める　　対Pasaban訴訟受理

【タコマ（米ワシントン州）2012年8月14日PRN＝共同JBN】Enterprises International Inc.（EII）は、米連邦裁判所に対してLamb-Psaban、Pasaban SAとそのオーナーであるSergio Psaban、Chritina Pasaban、Alfredo Pasaban各氏が事業機会を盗み、Lamb-Pasabanの独占販売区域である中国やその他の国で製品を直接販売することによって合弁企業としての信認義務を破ったとする訴えを起こしている。

1990年にPasabanは一定の国が共同で所有する会社の独占販売区域となることに合意している。EIIは、PasabanがLamb-Pasabanに関して独占販売区域と指定された区域で顧客に直接販売したと主張している。EIIはLamb-Pasaban独占販売区域でPasabanによるこれ以上の販売を防止し、Pasabanの契約に違反した販売の損害を防ぐため差し止め命令を求めて訴えている。

米連邦裁判所のロナルド・レイトン判事は、Pasaban側の訴訟却下の訴えを退け、Pasabanおよび米国におけるPasaban被告側個人に対する事業機会窃盗と信任義務違反とするEIIの訴えの権利を認めた。連邦裁判所による判決は世界中で執行可能である。

Federal Judge holds that Pasaban defendants must submit to US Jurisdiction in Theft suit filed by EII.

Enterprises International Inc. has alleged in a suit in US Federal Court that

its partner in Lamb-Pasaban, Pasaban SA and its owners, Sergio Pasaban,

Christina Pasaban, and Alfredo Pasaban engaged in Theft of business

opportunities and breach of fiduciary duty to the joint company by selling

products directly in China and other countries which are the exclusive

territory of Lamb-Pasaban.  

In 1990 Pasaban agreed that certain countries would be the Exclusive Territory

of the jointly owned company, Lamb-Pasaban. EII alleges that Pasaban sold

directly to customers in the Territory exclusively designated for

Lamb-Pasaban.  EII has sued for an injunction to prevent further sales of any

kind by Pasaban in the Lamb-Pasaban territory and damages for sales made in

contravention of Pasaban's agreements.

US Federal Judge Ronald Leighton denied Pasaban's motion to dismiss the suit

and affirmed EII's right to bring suit against Pasaban and the individual

Pasaban defendants in the US for theft of business opportunities and breach of

fiduciary duty.  A Judgment issued by the Federal District Court is enforceable

worldwide.
