【フィラデルフィア2015年4月21日PRN＝共同通信JBN】FMC Corporation（NYSE:FMC）は21日、多国籍農薬企業Cheminova A/Sの買収を完了したと発表した。Cheminovaはデンマークに本社があり、Auriga Industries A/Sの完全子会社だった。FMCとCheminovaは2014年9月8日に合併合意文書への調印を発表したが、今回すべての必要条件と規制認可を満たした。

FMCによるCheminovaの買収金額は、負債の継承も含めて総額約18億ドル。FMCは調整後利益が買収後の1年目から徐々に増加するとみている。

FMCのピエール・ブロンドー社長兼最高経営責任者（CEO）兼会長は「Cheminovaの買収は、農業と健康、栄養のエンドマーケットの製品に集中するというFMCの企業戦略に完全に合致する。Cheminovaの製品スイートおよび営業地域はFMCにとって高い補完性があり、Cheminovaは技術を応用して顧客にソリューションを提供する点でFMCと似た戦略的手法を採用している。今回の買収によってわが社の農業ソリューション・ポートフォリオが拡大し、市場アクセスは飛躍的に強化される」と述べた。

FMCはこの数年間、農薬市場での基盤を拡大するため、事業の再編成に取り組んできた。Cheminovaを買収し、Alkali Chemicals事業の分離を4月1日に完了したことで、FMC Agricultural Solutionsの売上高の企業全体に占める比率は、2009年の40%以下から約75%に上昇すると見込まれる。

FMCは四半期決算の発表時と5月11日の投資家会議で、今回の買収についてあらためて説明する。

FMC Corporation Completes Acquisition of Cheminova A/S

    FMC Corporation (NYSE: FMC) today announced that it has completed the

closing of its acquisition of Cheminova A/S, a multinational crop protection

company based in Denmark and a wholly-owned subsidiary of Auriga Industries

A/S. The companies announced the signing of a definitive acquisition agreement

on September 8, 2014, and have now satisfied all necessary conditions and

regulatory approvals.

    FMC completed the acquisition of Cheminova for an aggregate purchase price

of approximately $1.8 billion, including assumption of debt. FMC expects the

transaction to be accretive to adjusted earnings in the first full year

following the acquisition.

to focus FMC's portfolio on agriculture, health and nutrition end markets,"

throughout Latin America, bringing greater balance to our agricultural

business. Its technology will enable us to expand FMC's position in existing

crops; accelerate access to additional crops, such as cereals; and strengthen

our offerings to customers, especially in sugarcane, soybeans and cotton. We

expect to further enhance our innovation pipeline and generate significant new

revenue opportunities for the combined business."

    FMC has been realigning its business portfolio in recent years to expand

its position in the crop protection market. With the acquisition of Cheminova,

and the divestiture of the Alkali Chemicals business completed on April 1,

2015, FMC Agricultural Solutions is expected to represent approximately three

quarters of the company's total revenue, up from less than 40 percent as

recently as 2009.

    The company will provide integration updates during quarterly earnings

calls and at its upcoming Investor Conference on May 11, 2015.
