インド初の電力部門インフラストラクチャー投資信託（InvIT）であるIndiGridは、Patran Transmission Company Limited（PTCL）に対する投資を成功裏に完了した。これはIndiGridによる初の第三者資産投資である。IndiGridは先立つ2018年2月に、Techno Electricと最終的な取引契約を結んでいる。

今回の買収は、内部留保と利用可能な借入枠を通じてすべて行われた。IndiGridはボンベイ証券取引所（BSE）の電子取引プラットフォームを通じて、25億ルピーのAAA格付社債を発行しており、それはインフラストラクチャー投資信託（InvIT）による初の債券発行となる。（InvIT発行後）募集終了時点でのIndiGridの運用資産（AUM）に対する負債は47%となる。

ハーシュ・シャー最高経営責任者（CEO）兼常勤取締役は今回の買収について「昨年の上場以来、IndiGridは取引先企業リスクと長期的なキャッシュフローによって運用送電資産ポートフォリオを急成長させてきた。今回は過去12カ月で4回目の企業価値を付加する買収となり、12%の株式ポートフォリオのIRR（内部収益率）を達成するというIndiGridの目標に沿うものである。IndiGridは、2019会計年度に1口当たり分配金（DPU）を12ルピーとするという当社ガイダンスの達成に向けて順調に歩んでいる。

Patran Transmission Company Limited（PTCL）のプロジェクトは、14のベイを備える1000MVA、400/220 KVサブステーションおよびパティアラア・カイタル間の400kVのダブルサーキット型トリプルスノーバードラインの両回路のLILOで構成されている。この州間プロジェクトは、競争入札を通じて建設、所有、運用、維持モデルに基づいて永続的ベースで与えられた。PTCLは最長約33年という長期間の残余契約寿命を保有し、インドにおいては接続ポイント方式の下で運用される。

IndiGrid Issues First AAA Debentures by an InvIT; Completes its First Investment in a Third-party Asset

    IndiGrid, India's first Infrastructure Investment Trust ("InvIT") in the

power sector, successfully completed an investment in Patran Transmission

Company Limited ("PTCL"). This is IndiGrid's first investment in a third-party

asset. IndiGrid had earlier signed definitive agreements with Techno Electric

for the transaction in February 2018.

    The acquisition was done entirely through internal accruals and available

debt headroom. IndiGrid placed AAA rated debentures of INR 2.5 billion via the

e-bidding platform of BSE, making it the first ever bond issuance by an InvIT.

Post the placement, IndiGrid's net debt to AUM stands at 47%.  

    Commenting on the acquisition Mr. Harsh Shah, CEO and whole-time Director,

said, "Since listing last year, IndiGrid has expeditiously grown its portfolio

of operational power transmission assets with low counterparty risks and

long-term cash flows. This is the fourth value accretive acquisition in the

last twelve months and is in line with IndiGrid's target of reaching 12%

portfolio equity IRR. IndiGrid remains on track to achieve its stated

distribution per unit (DPU) guidance of INR 12.0 for FY19."

    About the asset:

    PTCL project consists of a 1000 MVA, 400/220 KV substation with 14 bays and

LILO of both circuits of Patiala-Kaithal 400 kV double circuit triple snow bird

line. This inter-state project was awarded on a perpetual basis on Build, Own,

Operate and Maintain model through competitive bidding. PTCL has a long

residual contractual life of about ~33years and is operating under the Point of

Connection mechanism in India.
